EU Representative vs Data Protection Officer (DPO) — Key Differences
Key differences between GDPR Article 27 EU Representative and Article 37 Data Protection Officer. Roles, requirements, costs, and when you need both.
Two Different Roles Under GDPR
The EU Representative (Article 27) and the Data Protection Officer (DPO, Article 37) are often confused. They serve different functions, have different legal bases, and one does not replace the other. Understanding the difference is essential for proper GDPR compliance.
EU Representative (Article 27)
Who needs it: EVERY non-EU entity processing EU personal data under Article 3(2). There are no exceptions based on company size, turnover, or data volume.
Purpose: Provide an EU-established point of contact for EU DPAs and data subjects. Accept service of process. Forward correspondence to the non-EU controller/processor. Maintain required records.
Location: Must be physically established in the EU (Article 27(3)).
Liability: Can be held directly liable for GDPR violations, particularly failure to fulfill their representative functions.
Cost: EUR 490/year through EU Shield.
Data Protection Officer (Article 37)
Who needs it: Only entities that: (a) are a public authority (except courts); (b) engage in large-scale systematic monitoring of individuals; or (c) engage in large-scale processing of special category data (health, biometrics, criminal records).
Purpose: Oversee GDPR compliance within your organization. Advise on data protection matters. Monitor compliance. Cooperate with DPAs. Serve as contact point for data subjects.
Location: Can be anywhere, but must be reachable and accessible.
Liability: Protected under Article 38 — cannot be penalized for performing DPO duties.
Cost: EUR 1,000-5,000/year (outsourced).
Can One Person Serve Both Roles?
In theory, yes — if an EU-established person has the qualifications and resources to serve as both EU Representative and DPO. In practice, the roles conflict: the EU Rep is a passive correspondence receiver while the DPO is an active compliance advisor. Most organizations keep them separate. EU Shield provides EU Representative services only. Get started →
